The terms, in clear language.

1. Agreement to these terms

These Terms of Service (“Terms”) are an agreement between you and El Dorado Ignition LLC, a Wyoming limited liability company that owns and operates Silent Student (“El Dorado Ignition,” “we,” “us,” or “our”), governing your use of Silent Student, silentstudent.com, and related services. By creating an account, purchasing a subscription, or using Silent Student, you agree to these Terms. If you do not agree, do not use the service.

2. What Silent Student does

Silent Student is a desktop application for macOS and Windows. It connects to a student’s own Canvas or D2L Brightspace account and autonomously completes supported quizzes, essays, discussions, file uploads, and external courseware reached through the LMS, including WebAssign, Apex Learning, Cengage, McGraw Hill, Packback, and myBusinessCourse. Features may depend on the LMS, courseware, assignment format, and active subscription.

3. Your account and access

You must be at least 13 years old to create a Silent Student account or join our waitlist. If we learn that an account or waitlist entry belongs to someone under 13, we will close it and delete the personal information it holds, as described in section 11 of our Privacy Policy.

You may connect only an LMS account that belongs to you and that you are authorized to access. You are responsible for the accuracy of your account information, the security of your device, and activity performed through your Silent Student account. LMS credentials are stored locally on your device and are not transmitted to our servers. Do not use the service to access another person’s account or any system without permission.

4. Subscriptions and payment

Silent Student offers monthly subscriptions: Base at $11.99 per month, Plus at $24.99 per month, and Pro at $49.99 per month. Stripe processes subscription payments, and card details never touch our servers. Subscription and billing state are stored so Silent Student can determine account access.

An account that redeems an eligible promotional code may be offered a 7-day limited free trial with all features. Free trials are available only through such codes; other accounts begin a paid subscription at checkout. The trial includes all features, including the Pro engine, and $1 total in API usage across the trial. API work pauses when the remaining allowance cannot cover the next call; this allowance does not reset during the trial. A valid payment method is required to start the trial, and trial usage limits apply — the trial is a limited preview of the service, not the full monthly usage allowance of a paid plan. Unless you cancel first, automatic invoicing and payment collection begin after the trial ends, and your plan then renews monthly. Payment may require further authentication or fail; successful collection is not guaranteed. Any accepted discount is shown during Checkout. You can cancel at any time before the trial ends and you will not be charged anything; canceling during a trial ends access immediately. One free trial per person and per payment method: a trial started with a payment method that has already been used for a trial may be revoked, without any charge.

Usage allowances. Base and Plus plans include a monthly usage allowance that resets at the start of each billing period; when it is used up, AI work pauses until the next period or until you change plans. Pro plans include unlimited usage for normal personal use, subject to the fair-use terms in section 5.

Subscriptions renew monthly until canceled. For paid subscriptions, cancellation takes effect at the end of the paid billing period, and access continues through that period. Canceling a free trial ends trial access immediately and prevents its scheduled conversion.

Payments are generally nonrefundable except where required by law. If an initial purchase was made in error, contact support within seven days; refund requests will be reviewed case by case. This case-by-case review does not apply to an account we terminate for breach or suspected abuse — see section 6, under which the remainder of the period is forfeited and no refund is owed.

5. Acceptable use and academic integrity

You are solely responsible for complying with your institution’s academic-integrity policies and the terms of service of every LMS, courseware platform, or other service that Silent Student automates. The software is provided for use at your own risk and discretion. Before using automation on an assignment, you should determine whether that use is allowed by the rules that apply to you.

You must not use Silent Student to break the law, access accounts or content without authorization, interfere with a platform or another user, distribute malicious software, or attempt to defeat service limits. You are responsible for reviewing work and submissions made through your accounts. Silent Student does not promise any grade, academic outcome, or continued access to a third-party platform.

Fair use of unlimited plans. “Unlimited” means we do not cap the amount of coursework you can run for your own personal use. It does not cover use that is automated beyond the app’s normal operation, shared with or resold to other people, run on behalf of accounts other than your own, or so far beyond typical student use that it burdens the service. If your usage reaches a level we consider excessive or abusive, we may pause AI work on your account while we review it, contact you, and limit or restore usage at our discretion. Repeated or deliberate abuse may lead to suspension or termination under section 6.

6. Suspension, termination, and permanent refusal of service

We may suspend, terminate, or refuse to provide Silent Student to you, in whole or in part, with or without prior notice, if we determine that you have breached these Terms, that your use is unlawful or abusive, that you have attempted to defeat service limits or billing, or that continued service creates legal or operational risk for us or for another user. We may also discontinue service for any lawful reason on reasonable notice.

Effect on your subscription and refunds. If we terminate your account for breach or suspected abuse, your subscription is canceled immediately rather than at the end of the billing period, your access ends at once, and the remainder of any prepaid period is forfeited. No refund, credit, or proration is owed for that period or for any unused portion of it, and any refund request that is pending or that you make afterward is void. This is an exception to the case-by-case refund review described in section 4, and it applies whether the account was on a paid plan, a free trial, or complimentary access. Nothing in this paragraph limits any refund we are required by law to provide.

Payment disputes. If you believe a termination or a charge was made in error, contact support@silentstudent.com and we will review it. Initiating a chargeback or payment dispute on an account terminated for breach, rather than contacting us first, is itself a breach of these Terms; we may contest the dispute and present our records of the account and the conduct that led to the termination.

Permanent refusal. A termination may be permanent. Where it is, we may permanently decline to provide the service to you, including by refusing new accounts created with the same email address. Creating or attempting to create another account to evade a termination is a further breach, and any such account may be terminated immediately and without refund. A termination can be lifted only by us; if you believe one was made in error, write to support@silentstudent.com.

What we keep. When an account is terminated we delete the personal data associated with it on the schedule described in our Privacy Policy, and we retain a limited record that the account was terminated — including a one-way cryptographic hash of the email address, which cannot be reversed to recover the address — so that the decision can be enforced and reviewed. We also retain billing and transaction records as required for tax, accounting, and dispute purposes, and our customer and outreach (contact) records, which are kept when an account is terminated or deleted. See the Privacy Policy for details.

Your own cancellation is unaffected. Nothing in this section limits your ability to cancel at any time under section 4, which ends free-trial access immediately, or preserves paid access through the end of the current paid billing period.

7. Third-party platforms and AI processing

Silent Student interacts with third-party services that we do not control. Changes, outages, restrictions, or enforcement by Canvas, D2L Brightspace, external courseware, AI model providers, or Stripe may affect the service. Assignment content needed for AI processing is sent to api.silentstudent.com and relayed to third-party AI model providers — currently Anthropic, Google, OpenAI, Z.ai, DeepSeek, and xAI, reached directly or through OpenRouter. Third-party services are governed by their own terms and policies.

8. Privacy and diagnostics

Our Privacy Policy explains how information is handled.

Advanced diagnostics are a condition of using the app. While you use the Silent Student desktop app, it sends us technical reports and records the pages the bot works on during Vision sessions — including screenshots, a stripped copy of the page HTML, the answers the bot typed or selected, and whether each action worked — as described in section 5 of the Privacy Policy. Those pages may show your name, classmates’ names, grades, and coursework. Diagnostics cannot be turned off while you use the app. The app asks you to accept these Terms before you continue and records that you did. If you do not agree, do not use Silent Student; you can stop at any time and delete your account from your Account page.

Error reports you submit yourself from an assignment or from Settings are still sent only when you choose to send one.

Downloads, app use and website activity. When you download the installer we record your account, the time, your IP address and your browser and device details. The desktop app reports when it is first opened and each time it opens — including before you sign in — with a random install identifier, the app version and your computer’s operating system, processor, memory, model, language and time zone, and our backend records your IP address; once you sign in, those reports are linked to your account. We record whether each sign-in happens on our website or in the app. On silentstudent.com we record the pages you open, the links and buttons you click, how long you spend on each page and your IP address, linked to your account when you are signed in. Sections 3 and 6 of the Privacy Policy describe this in full.

Customer records are kept. We keep a customer and outreach (contact) record for accounts and waitlist entries. Deleting your account or leaving the waitlist does not delete that record; you can ask support to delete it. Records of anyone under 13 are deleted as section 3 above describes.

9. Ownership and permission to use the service

El Dorado Ignition LLC owns Silent Student and its associated software, design, and branding, including the Silent Student name and logo. Subject to these Terms and an active subscription, we grant you a limited, personal, nonexclusive, nontransferable right to use the app. You may not copy, resell, sublicense, or reverse engineer the service except where applicable law does not allow that restriction.

10. Service availability and changes

We may maintain, update, change, suspend, or discontinue features. We do not guarantee that every assignment or third-party platform will work, that the service will be uninterrupted, or that generated work will be accurate. You remain responsible for deadlines, submissions, and the consequences of using automation.

11. Disclaimers and limitation of liability

To the fullest extent permitted by law, Silent Student is provided “as is” and “as available,” without warranties of merchantability, fitness for a particular purpose, noninfringement, accuracy, or uninterrupted availability. We are not responsible for grades, disciplinary action, account restrictions, missed deadlines, data loss, or third-party service decisions arising from your use of Silent Student.

To the fullest extent permitted by law, our total liability for claims relating to the service will not exceed the amount you paid us for Silent Student during the twelve months before the event giving rise to the claim. We will not be liable for indirect, incidental, special, consequential, or punitive damages.

12. Governing law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws rules.

13. Dispute resolution

Before filing a formal claim, you and El Dorado Ignition LLC will try to resolve the dispute informally for 30 days. Unresolved disputes will be decided by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, except that either party may bring an eligible claim in small-claims court. Claims may not proceed on a class or representative basis.

14. Changes to these terms

We may update these Terms as the service changes. The effective date at the top identifies the current version. Continued use after updated Terms take effect means you accept the revised Terms. When a change materially affects how we collect or use your information, the desktop app also asks you to accept the updated Terms before you can keep using it.
